Terms of Service for AI Write Editor

These Terms of Service ("Terms") constitute a legally binding agreement between you, as a user of the Service, and AI Write Editor ("AI Write Editor," "we," "us," or "our"). These Terms govern your access to and use of the website aiwriteeditor.com and any associated services, features, content, applications, or products offered by AI Write Editor (collectively, the "Service").

I. Acceptance of Terms

  7. Constitutes unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
  8. Attempts to gain unauthorized access to any portion or feature of the Service, other accounts, computer systems, or networks connected to the Service, whether through hacking, password mining, or any other illicit means.
  9. Engages in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

IV. Intellectual Property Rights

All rights, title, and interest in and to the Service, including but not limited to its software, design, text, graphics, images, video, information, logos, trademarks, service marks, and the underlying AI models, algorithms, and technology, are and will remain the exclusive property of AI Write Editor and its licensors. These Terms do not grant you any right to use AI Write Editor's trademarks, logos, domain names, or other brand features.
  2. User Content. You retain all rights, title, and interest in and to the Content you submit to the Service. By submitting Content, you grant AI Write Editor a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display such Content solely for the purpose of providing and improving the Service, including training and refining our AI models.
  3. Output Content. Subject to your compliance with these Terms, you are granted a non-exclusive, worldwide, royalty-free license to use the Output generated by the Service based on your Content for any lawful purpose. You acknowledge that AI Write Editor makes no representations or warranties regarding the originality, accuracy, or non-infringement of the Output, and you bear sole responsibility for verifying the Output's suitability for your intended use.

V. Disclaimer of Warranties

  1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AI WRITE EDITOR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI WRITE EDITOR MAKES NO WARRANTY THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

VI. Limitation of Liability

  1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI WRITE EDITOR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF AI WRITE EDITOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SERVICE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE CUMULATIVE LIABILITY OF AI WRITE EDITOR TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO AI WRITE EDITOR FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE ACCRUAL OF THE CLAIM.

VII. Indemnification

You agree to indemnify, defend, and hold harmless AI Write Editor, its affiliates, officers, directors, employees, consultants, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) that arise from or relate to (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party, including, but not limited to, intellectual property rights or privacy rights; or (d) any Content or Output you submit, post, transmit, or make available through the Service.

VIII. Termination

  1. By AI Write Editor. We reserve the right, in our sole discretion, to suspend or terminate your access to the Service, or any portion thereof, at any time, with or without notice, for any reason, including, without limitation, a breach of these Terms.
  2. By You. You may cease using the Service at any time. If you wish to terminate your account, you may do so by following the instructions within the Service or by contacting us at [email protected].
  3. Effect of Termination. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

IX. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be exclusively brought in the federal or state courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue therein.

X. Amendments to Terms

AI Write Editor reserves the right to modify or replace these Terms at any time. If a revision is material, we will endeavor to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

XI. Miscellaneous Provisions

  1. Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
  2. Entire Agreement. These Terms constitute the entire agreement between you and AI Write Editor regarding the use of the Service, superseding any prior agreements between you and AI Write Editor relating to your use of the Service.
  3. Waiver. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and AI Write Editor's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
